Medan, January 2025 – PT Prima Pengembangan Kawasan (PT PPK) held a General Meeting of Shareholders (GMS) on Thursday, January 30, 2025, at Pelindo Tower, Jakarta, with the agenda of ratifying the 2025 Corporate Budget Plan (RKAP). The meeting was attended by the Shareholders, Commissioners, and Directors of PT PPK.
During this GMS, key topics discussed included the approval of the 2025 Fiscal Year RKAP, Investment Programs and Budget, as well as a Management Contract in the form of 2025 KPIs.
In this meeting, the Shareholders provided directions for PT PPK’s Management, under the supervision of the Commissioners, to use the 2025 RKAP as a guideline in managing and overseeing the company. The Management was also instructed to implement good corporate governance (GCG) principles, effectively execute investment programs to create real and measurable impacts for improving the company’s performance and growth.
On the same occasion, the Company’s Board of Commissioners advised PT PPK’s Management to ensure the achievement of the planned work programs, consider governance, risk, and compliance (GRC) aspects in running the company, adopt a prudent approach in managing the business, and comply with applicable laws and regulations, which are key requirements for the company’s sustainable performance targets.
Responding to the directives from the Shareholders and Commissioners, Acting Director of PT PPK, Sutanto, stated that he would heed and implement the guidance from both the Shareholders and the Commissioners, aiming to achieve the company’s performance growth as planned. To accomplish this, the Management will strive to execute investment programs effectively, manage the company in accordance with GCG principles, and ensure risk and compliance considerations are integrated into business operations.
The GMS is one of the three corporate organs in a Limited Liability Company (PT), holding exclusive authority that is not granted to the Board of Directors and Board of Commissioners. The powers of the GMS are defined by Indonesian Company Law and the company’s Articles of Association.
